These Terms of Service (“Terms”) govern your access to and use of the Kooking mobile applications, websites, and related services (collectively, the “Service”) provided by UnivFax (“Kooking”, “we”, “us”, or “our”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy and Community Guidelines. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be at least 18 years old to use Kooking. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into these Terms.
To use certain features, you need a Kooking account created with an email and password or a supported third‑party login (such as Google). You are responsible for:
- Keeping your login credentials secure.
- All activity that occurs under your account.
- Updating your information so it remains accurate and current.
We may refuse registration, close accounts, or reclaim usernames if they violate our policies or someone’s rights.
2. Use of the Service
You agree to use Kooking only for lawful purposes and in accordance with these Terms, our Privacy Policy, and Community Guidelines. In particular, you agree that you will not:
- Upload, post, or share any content that is illegal, harmful, hateful, harassing, defamatory, obscene, or otherwise objectionable.
- Violate the rights of others, including privacy, publicity, or intellectual property rights.
- Use the Service for spam, scams, or unauthorized advertising.
- Attempt to interfere with or disrupt the Service, including by hacking, scraping, or reverse engineering components of the app except where allowed by law.
- Use automated tools (bots, scrapers, scripts) without our prior written permission.
We may investigate and take action (including content removal or account suspension) if we believe these rules are violated.
3. User Content
Kooking lets you create, upload, import, save, and share content—such as recipes, photos, cooking steps, comments, ratings, and profile information (“User Content”). You retain ownership of your User Content, subject to the rights you grant us below.
3.1 Your Responsibility
You are solely responsible for the User Content you submit and how you use others’ content. You confirm that:
- You have the necessary rights to post your User Content or have permission from the rights holder.
- Your User Content does not infringe any copyright, trademark, or other rights.
- Your User Content complies with these Terms and our Community Guidelines.
Kooking does not have an obligation to pre‑screen User Content but may remove or restrict access to any content at our sole discretion.
3.2 License You Grant to Kooking
By submitting User Content to or through the Service, you grant Kooking a worldwide, non‑exclusive, royalty‑free, transferable, and sublicensable license to host, store, reproduce, modify (for formatting and display), adapt, publish, translate, distribute, publicly perform, and publicly display that content in connection with operating, marketing, and improving the Service.
This license ends when you delete your User Content from the Service, except where:
- Copies remain as part of routine backups or logs, which will be removed in the ordinary course of business; or
- Your content has been used in aggregated, anonymized form that does not identify you.
3.3 Recipe Import and Third‑Party Content
Kooking allows users to import recipes from external websites by pasting a URL. When this happens:
- The user initiating the import is responsible for ensuring they have the right to use and store that recipe content.
- Kooking displays a link back to the original source when available to credit the original creator.
- We do not guarantee the accuracy, ownership, or legality of imported recipes.
If you are a rights holder and believe that your recipe or other content has been imported into Kooking without permission, you can contact us (see Section 16). We will review the request and may remove or restrict access to the content where appropriate.
4. Community Guidelines
Your use of the Service is also governed by our Community Guidelines, which outline acceptable behavior and content. We may remove content, limit features, or suspend accounts that violate those guidelines or these Terms. Repeated or serious violations may lead to permanent bans.
5. AI Features and Recommendations
Kooking uses AI to:
- Suggest recipes (e.g., “For You” feed).
- Calculate an AI Match score based on your stated preferences, dietary choices, and in‑app activity.
These features are intended to help you discover content but may not always be accurate or appropriate for your specific circumstances. You should use your own judgment when choosing recipes and making dietary decisions. AI outputs are provided “as is” without any guarantee.
6. In‑App Purchases and Payments
Kooking may offer optional paid features or in‑app purchases through the Apple App Store or Google Play Store. All such transactions are processed by the respective platform and are subject to their terms and refund policies.
- Prices and offerings may change.
- Some features may be available only with a subscription or one‑time purchase.
- Except where required by law or platform policy, payments are non‑refundable.
7. Intellectual Property
Apart from User Content, all materials in the Service—including text, graphics, logos, icons, images, software, and trademarks—are owned by or licensed to Kooking and are protected by intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code, except as permitted by law or with our written permission.
You may use the Kooking name and branding only as allowed under our guidelines or with our prior written consent.
8. Third‑Party Services and Links
The Service may display or rely on third‑party content or services (such as recipe websites, analytics providers, ad networks, and sign‑in providers). Kooking does not control and is not responsible for:
- The content, products, or services of third parties.
- Any terms, privacy policies, or practices of those third parties.
Your use of third‑party services is at your own risk and subject to their separate terms and policies.
9. Privacy
Our Privacy Policy explains how we collect, use, and protect your personal information, including how we use analytics, AI recommendations, notifications, and ads. By using Kooking, you agree to the processing of your information as described there.
10. Termination
You may stop using Kooking at any time and can delete your account in the app or by contacting us. When you delete your account, we generally delete your personal data from our active systems within a short period, subject to our Privacy Policy.
We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including if:
- You breach these Terms, the Community Guidelines, or applicable laws.
- We are required to do so by law or a competent authority.
- We discontinue or materially alter the Service.
Where reasonable, we’ll try to notify you in advance, but this may not always be possible.
11. Disclaimers
To the fullest extent permitted by law:
- The Service and all content (including AI‑generated recommendations) are provided “as is” and “as available” without warranties of any kind, whether express or implied.
- We do not warrant that the Service will be uninterrupted, secure, or error‑free.
- We do not guarantee the accuracy, completeness, or usefulness of any content, including recipes, nutritional information, or cooking instructions.
You are responsible for ensuring that ingredients, cooking methods, and food handling practices are safe and appropriate for you and anyone you cook for.
12. Limitation of Liability
To the maximum extent permitted by law, Kooking and UnivFax, and their officers, directors, employees, and partners, will not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Any loss of profits, data, or goodwill.
- Any damages arising from your access to or use of (or inability to access or use) the Service or any content.
Our total liability for any claims relating to the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the 3 months prior to the event giving rise to the claim, or (b) 50 CAD.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Kooking, UnivFax, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Service.
- Your User Content.
- Your violation of these Terms, Community Guidelines, or any law or third‑party rights.
14. Changes to the Service and Terms
We are constantly improving Kooking and may add or remove features, impose limits, or discontinue parts of the Service at any time, with or without notice.
We may update these Terms from time to time. When we do, we’ll update the “Last updated” date at the top, and we may notify you by in‑app notice, email, or other means. By continuing to use the Service after the updated Terms take effect, you accept the new Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.
Where local law permits, any disputes arising out of or relating to these Terms or the Service will be resolved in the courts located in Toronto, Ontario, and you consent to their jurisdiction. If you are a consumer in a region that requires local consumer protections or dispute forums, those rights remain in place.
